We’re seeking a Commercial Counsel with a client-centric mindset to develop and execute strategic agreements with cross-functional internal and external partners. Joining our small but impactful in-house legal team, you will have a significant opportunity to contribute to the development of our legal processes and best practices and directly support our continued growth. As a Commercial Counsel, you will be responsible for drafting, negotiating, and managing commercial contracts, specifically in SaaS/technology, while ensuring legal compliance and providing related counsel. In this role, you will:

  • Draft, review, and negotiate a comprehensive suite of commercial agreements, including extensive experience with SaaS and technology services contracts, while ensuring adherence to applicable laws, regulations, and internal guidelines
  • Provide legal advice and interpretation on new and existing contract terms and potential risks to internal stakeholders
  • Establish and maintain organized records of standard contract templates and operational procedures to guarantee legal compliance and optimize efficiency 
  • Provide counsel on non-standard contractual arrangements and conduct negotiations for deviations from standard terms
  • Collaborate with Sales, Client Success, Data Privacy, and other departments to ensure contractual alignment with mutually agreed-upon client and business objectives
  • Oversee the complete contract lifecycle, from initial drafting through termination, including the management of renewals and amendments
  • Offer counsel on intellectual property matters related to commercial agreements
  • Contribute to the development and improvement of legal team, processes, and systems 
  • Maintain a current and comprehensive understanding of pertinent laws and regulations, including those specific to technology and artificial intelligence
  • Develop and deliver training for internal teams on contract-related procedures and relevant legal principles


Experience & Skills Required: 

  • Juris Doctor (JD) from an accredited law school
  • Licensed to practice law in the United States; Admission to the Arizona Bar
  • Minimum of 3 years of relevant experience in commercial contract law, with a strong understanding of contract law principles and commercial business practices
  • Proven expertise in drafting, reviewing, and negotiating a wide range of commercial agreements, including SaaS and technology services
  • Demonstration of strong solution orientation, balancing business objectives with risk mitigation
  • Exceptional analytical and problem-solving skills, including the ability to interpret contract terms and identify potential legal and business risks
  • Thorough understanding of relevant laws, regulations, and industry standards impacting commercial agreements
  • Excellent written and verbal communication skills
  • Strong collaboration and interpersonal skills with a demonstrated ability to work effectively across cross-functional teams and with both internal and external clients
  • Exceptional organizational and time management skills, capable of managing multiple priorities and meeting deadlines in a fast-paced environment
  • Ability to work from our Scottsdale, AZ office
  • Authorization to work in the United States
